Terms of Service
Effective Date: January 1, 2015
These Terms of Service ("Terms") govern the use of services provided by Wazile Technology Solutions Inc. ("Wazile," "we," "our," or "us"). By using our services, you ("Client," "you," or "your") agree to be bound by these Terms, our Privacy Policy, and our Acceptable Use Policy.
- Acceptance of Terms
By submitting a service application or making payment, you agree to comply with these Terms. If you do not agree, do not use our services. - Eligibility
You must be at least 18 years old or have parental/guardian consent to use our services. You agree to provide accurate, up-to-date information and keep it current throughout your engagement with us. - Description of Services
Wazile offers a range of professional services, which may include web hosting, web design and development, and digital marketing. Examples of these services include—but are not limited to—WordPress website development, shared or dedicated hosting plans, social media content management, basic SEO, and email marketing. The specific services provided to you will be outlined in your signed agreement, proposal, or invoice. Inclusion of a service in this section does not imply that it is automatically part of your package unless explicitly stated. - Payment Terms
- Services begin only after full payment is received.
- A 5% handling fee applies to credit card or PayPal payments.
- We will notify you via email at least 7 days before the expiration of services.
- Delayed payments may result in service suspension or termination.
- Refund Policy
All payments are non-refundable unless stated otherwise in a written agreement. No refunds will be issued for early cancellations, unused time, or policy violations. - Acceptable Use Policy
You agree not to:
- Violate privacy or intellectual property rights.
- Engage in spamming or unsolicited communications.
- Upload illegal, obscene, defamatory, or hateful content.
- Use our services for hacking, phishing, or unauthorized access.
Violation may result in immediate suspension or termination without refund.
- Prohibited Content & Activities
Examples of prohibited content include, but are not limited to:
- Pirated software, warez, proxy scripts, file dumps.
- HYIP, escrow, FOREX trading, and drug-related content.
- Audio/video streaming (on shared servers).
- Sites that promote violence, hate, or illegal activity.
You may not use shared hosting as backup or storage, except for one cPanel backup.
- Data Backups
Wazile performs daily backups for internal purposes, but we do not guarantee backup completeness or availability. Clients are responsible for maintaining their own data backups. - Spam Policy (Zero Tolerance)
Sending unsolicited emails, faxes, or messages is strictly prohibited. Accounts found spamming will be suspended or terminated, and a cleanup fee may be charged at our discretion. - Limitation of Support / Scope of Support
Support is limited to core services provided. Requests for third-party integrations, custom development, or out-of-scope tasks may be declined or subject to additional charges. - Suspension and Termination
- Accounts are suspended after 3 days of non-payment and terminated on the 5th day.
- Data may be deleted upon termination. Wazile is not responsible for data loss.
- Outstanding balances will be subject to collection, including fees.
- Account Cancellation
Cancellations must be submitted in writing at least 5 days before the renewal date. No refunds will be given. If cancellation is made on or after the renewal date, the renewal fee will apply. - Intellectual Property Rights
All work created by Wazile remains our property until full payment is received. Clients may not duplicate, sell, or reuse any of our materials without permission. - Portfolio and Attribution Rights
We may showcase completed work in our portfolio and include a footer credit on websites we build, unless otherwise agreed in writing. - Data Privacy Compliance
Wazile adheres to the Data Privacy Act of 2012. Client data will be used only for business-related purposes and will not be shared without consent unless required by law. - Third-Party Services Disclaimer
We are not liable for issues, downtimes, or changes related to third-party tools or platforms used in client projects. - Force Majeure
We are not liable for delays or failures caused by circumstances beyond our control (e.g., natural disasters, wars, internet outages, or government actions). - Indemnification
You agree to indemnify and hold harmless Wazile, its officers, employees, and affiliates against any claims, damages, or legal costs arising from your use of our services. - Governing Law
These Terms shall be governed by the laws of the Republic of the Philippines. - Dispute Resolution / Arbitration
All disputes shall first be resolved through mediation. If unresolved, arbitration in Metro Manila will apply. Court actions are waived except to enforce arbitration decisions. - Non-Solicitation
Clients shall not directly or indirectly solicit or hire any Wazile employee or contractor for a period of 12 months following service termination. - Service Change Notification Period
Wazile may revise service pricing, features, or scope with prior notice of at least 15 days. Continued use of services implies acceptance. - Resource Abuse Clause
Excessive use of server resources (CPU, RAM, bandwidth) may result in service restriction, suspension, or upgrade requirements. We will attempt to notify you prior to taking such action. - User-Generated Content Responsibility
Clients are solely responsible for any content posted or uploaded via our services. We are not liable for any copyright infringement, defamation, or legal violations by users. - Notices
Notices will be sent to the latest email on file. It is your responsibility to update contact information. Wazile is not liable for misdirected or undelivered notices due to outdated information. - Limitation of Liability
We are not liable for direct, indirect, incidental, or consequential damages from the use or inability to use our services. - Disclaimer of Warranties
Services are provided "as is" and "as available." We make no warranties regarding uptime, performance, or accuracy, and disclaim all implied warranties including merchantability and fitness for a particular purpose. - Changes to Terms
We may revise these Terms at any time. Changes will be posted on our website. Continued use of our services implies acceptance of the revised Terms.
